VEST TERMS OF USE

PLEASE READ THESE TERMS OF USE CAREFULLY. THESE TERMS FORM A LEGAL AGREEMENT BETWEEN YOU AND VEST HER INC., d/b/a VEST (“VEST,” “we,” “our,” or “us”).
These Terms govern your access to and use of:

the VEST website and any related webpages (the “Site”);
-
any VEST mobile application (the “App”);
-
digital community features, content, tools, communications, and resources made available through the Site, App, and
-
other online services made available by VEST that link to these Terms
(collectively, the “Services”).
By accessing or using the Services, creating an account, or otherwise indicating your acceptance of these Terms, you agree to be bound by them.
If you do not agree to these Terms, do not access or use the Services.
1. Relationship to Other VEST Agreements and Policies
Certain VEST offerings are governed by additional agreements or policies.
If you are a VEST member, your membership is also governed by the VEST Membership Agreement and VEST Community Guidelines & Code of Conduct.
Your use of the Services is also subject to the VEST Privacy Policy and any additional terms presented in connection with a particular event, service, program, coaching engagement, or other offering.
If there is a conflict between these Terms and the VEST Membership Agreement regarding a matter specifically related to membership, the Membership Agreement controls.
If there is a conflict between these Terms and additional terms applicable to a specific service or program, those additional terms will control for that specific subject matter.
2. Changes to These Terms
VEST may update these Terms from time to time as our Services, practices, or legal obligations change.
When we make changes, we will update the “Last Updated” date and post the revised Terms on the Site or App.
We may also provide additional notice when required by law or when changes are material.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
3. Description of Services
VEST provides a professional community and related digital services, programming, events, content, communications, and resources. Certain users may also access executive coaching or other professional services provided by independent third parties.
VEST may add, modify, suspend, or discontinue features or portions of the Services from time to time.
4. Membership
Membership in VEST is subject to application, approval, payment, eligibility requirements, and the VEST Membership Agreement.
Submission of an application does not guarantee acceptance.
Membership fees, automatic renewal, cancellation, refunds, membership benefits, and suspension or termination of membership are governed by the Membership Agreement.
Nothing in these Terms creates a right to VEST membership or continued membership.
5. Eligibility
You must be at least eighteen (18) years old or the age of legal majority in your jurisdiction to create an account or use the Services.
By using the Services, you represent that:

you meet applicable eligibility requirements;
-
the information you provide is accurate and complete; and
-
you are legally permitted to enter into these Terms.
VEST may restrict or deny access where reasonably necessary to comply with law, protect the Services, or enforce these Terms or other applicable policies.
6. Accounts and Registration
Some Services require an account.
When creating an account, you agree to provide accurate, current, and complete information and to update it when necessary.
You are responsible for:

maintaining the confidentiality of your login credentials;
-
activity occurring through your account;
-
preventing unauthorized access; and
-
notifying VEST promptly if you suspect unauthorized use.
You may not share or transfer your account without VEST's permission.
VEST may suspend or restrict an account when reasonably necessary to address suspected misuse, security concerns, violations of these Terms, or other conduct inconsistent with applicable VEST policies.
7. VEST Community Spaces
Certain portions of the Services may allow users or members to communicate with one another through community forums, chats, direct messages, comments, or other interactive features.
Use of these spaces is subject to the VEST Community Guidelines & Code of Conduct.
VEST may remove content, restrict functionality, suspend access, or take other appropriate action when content or conduct violates these Terms, the Community Guidelines & Code of Conduct, or applicable law.
VEST is not responsible for monitoring every interaction between users and does not guarantee the conduct, accuracy, identity, qualifications, or reliability of any user or member.
8. User Content
8.1 Your Responsibility
“User Content” means content you submit, upload, post, transmit, or otherwise make available through the Services, including text, images, comments, files, profile information, and other materials.
You are responsible for your User Content and represent that you have all rights necessary to provide it.
You may not submit User Content that:
-
violates applicable law;
-
infringes another person's intellectual property, privacy, publicity, or other rights;
-
contains unlawful threats, harassment, or discriminatory content;
-
impersonates another person;
-
contains malware or harmful code;
-
improperly discloses another person's confidential or personal information; or
-
otherwise violates these Terms or applicable VEST policies.
8.2 Ownership
You retain ownership of your User Content.
8.3 License to VEST
By submitting User Content through the Services, you grant VEST a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, and otherwise use that content as reasonably necessary to operate, maintain, improve, and provide the Services.
This license ends when the User Content is deleted from the Services, except to the extent copies must reasonably be retained for legal, security, backup, archival, or operational purposes.
Content intentionally submitted to public or community-facing areas may remain visible to others depending on the functionality of the Services.
9. Feedback and Suggestions
If you voluntarily provide VEST with ideas, suggestions, recommendations, or other feedback about the Services, you agree that VEST may use that feedback without restriction or compensation to you.
This does not transfer ownership of your separate confidential or proprietary materials.
10. Acceptable Use
You agree not to misuse the Services.
You may not:
-
use the Services for unlawful purposes;
-
interfere with or disrupt the Services or related systems;
-
attempt to gain unauthorized access to accounts, systems, or data;
-
circumvent security or access controls;
-
scrape, harvest, or collect data from the Services without authorization;
-
use automated systems to access the Services in a manner that places an unreasonable load on our systems;
-
reverse engineer, decompile, or attempt to derive source code except where permitted by law;
-
reproduce, sell, sublicense, or commercially exploit the Services except as expressly permitted;
-
frame or mirror the Services without permission;
-
use VEST's content or data to build a competing product or service without authorization;
-
remove copyright, trademark, or other proprietary notices; or
-
use the Services in a way that violates another person's rights or applicable VEST policies.
VEST may restrict or terminate access for misuse of the Services.
11. VEST Intellectual Property
The Services, including software, design, text, graphics, logos, trademarks, videos, recordings, curriculum, resources, databases, and other VEST-created materials, are owned by or licensed to VEST and are protected by intellectual property laws.
Subject to these Terms, VEST grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal or internal professional purposes.
Except as expressly authorized, you may not reproduce, distribute, modify, sell, publish, publicly display, create derivative works from, or commercially exploit VEST materials.
The VEST name, logos, and related marks may not be used without prior written permission.
12. Mobile Applications and App Stores
If you download a VEST App through a third-party app store, your use may also be subject to the applicable app store's terms.
VEST grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on devices you own or control, subject to these Terms.
Third-party app stores are not responsible for VEST's Services except to the extent required by their own terms or applicable law.
13. Coaching and Third-Party Professional Services
VEST may facilitate access to independent coaches, advisors, speakers, mentors, or other service providers.
Unless expressly stated otherwise, those individuals are independent providers and are not employees, partners, agents, or representatives of VEST.
VEST does not guarantee the quality, accuracy, suitability, results, or outcomes of services provided by independent third parties.
You remain responsible for deciding whether to engage with a coach or other provider and for evaluating any advice you receive.
Additional terms and fees may apply to coaching or other professional services.
14. Third-Party Services and Links
The Services may contain links to or integrations with third-party websites, applications, payment processors, platforms, or other services.
VEST does not control and is not responsible for third-party services, content, security, availability, or privacy practices.
Your use of third-party services is subject to the terms and policies of those third parties.
15. Fees for Additional Services
Membership fees and renewal terms are governed by the VEST Membership Agreement.
Certain coaching services, events, programs, add-ons, or other offerings may require separate payment.
When you purchase a paid offering through the Services, you agree to pay the amount disclosed at the time of purchase, including applicable taxes.
You authorize VEST and its payment processors to charge the payment method you provide for amounts properly due.
Any refund or cancellation terms presented in connection with a particular offering will apply to that offering.
16. Payment Processors
VEST may use third-party payment processors to process transactions.
By making a payment through the Services, you authorize VEST to provide information reasonably necessary to process the transaction and agree that payment processing may also be subject to the processor's terms and privacy policies.
VEST does not directly control third-party payment processors.
17. Chargebacks and Payment Disputes
If you believe you were charged incorrectly, please contact VEST promptly so we can attempt to resolve the issue.
Knowingly initiating a chargeback for a valid and authorized charge may result in suspension of access and collection of unpaid amounts, to the extent permitted by law.
Nothing in this section limits any rights you may have under applicable law or payment-card rules.
18. Account Deletion
You may request deletion of your account by contacting info@vesther.co or through any account-deletion feature made available through the Services.
VEST will take reasonable steps to process deletion requests subject to legitimate legal, security, fraud-prevention, backup, contractual, and record-retention obligations.
Deletion of an online account does not necessarily cancel an active VEST membership. Membership cancellation is governed by the VEST Membership Agreement.
VEST may also delete or deactivate long-inactive accounts in accordance with its operational practices and applicable law.
19. Privacy
VEST's collection, use, disclosure, and protection of personal information is described in the VEST Privacy Policy.
By using the Services, you acknowledge that you have reviewed the Privacy Policy.
20. Service Availability and Changes
VEST may modify, update, suspend, or discontinue portions of the Services from time to time.
We do not guarantee that any particular feature, platform, content, event, or digital service will always remain available.
Where a change materially affects a paid VEST membership, the applicable Membership Agreement will govern the member's rights regarding that change.
21. Suspension and Termination of Service Access
VEST may suspend, restrict, or terminate access to the Services when reasonably necessary because of:

a violation of these Terms;
-
misuse of the Services;
-
security or fraud concerns;
-
nonpayment of amounts properly due;
-
conduct that violates the VEST Community Guidelines & Code of Conduct;
-
legal or regulatory requirements; or
-
other conduct that materially threatens the integrity, security, or operation of the Services.
Termination of a VEST membership is governed by the VEST Membership Agreement.
Upon termination of access, provisions that by their nature should survive will remain in effect, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and unpaid obligations.
22. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
VEST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS DISCLAIM WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
VEST DOES NOT WARRANT THAT:
-
THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
-
INFORMATION PROVIDED THROUGH THE SERVICES WILL ALWAYS BE ACCURATE OR COMPLETE;
-
DEFECTS WILL ALWAYS BE CORRECTED;
-
THE SERVICES WILL MEET YOUR PARTICULAR NEEDS; OR
-
THE SERVICES WILL PRODUCE ANY PARTICULAR PROFESSIONAL, BUSINESS, FINANCIAL, OR PERSONAL OUTCOME.
Some jurisdictions do not allow certain warranty exclusions, so some of these limitations may not apply to you.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEST AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
-
ONE HUNDRED U.S. DOLLARS ($100); OR
-
THE AMOUNT YOU PAID DIRECTLY TO VEST FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not permit certain limitations of liability, so some limitations may not apply to you.
24. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless VEST and its affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from third-party claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from or relating to:

your User Content;
-
your material misuse of the Services;
-
your material violation of these Terms;
-
your violation of another person's rights; or
-
your violation of applicable law.
VEST may assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate.
25. Copyright and DMCA
If you believe material available through the Services infringes your copyright, you may send a notice to VEST's designated copyright contact that includes:
-
Your physical or electronic signature.
-
Identification of the copyrighted work you claim has been infringed.
-
Identification of the allegedly infringing material and information reasonably sufficient for VEST to locate it.
-
Your contact information.
-
A statement that you have a good-faith belief that the disputed
26. General Provisions
26.1 Entire Agreement. These Terms, together with any policies or agreements incorporated by reference, constitute the entire agreement between you and VEST regarding your use of the Services. If you are a VEST member, your membership is also governed by the VEST Membership Agreement and VEST Community Guidelines & Code of Conduct. If there is a conflict regarding a membership-specific matter, the Membership Agreement will control.
26.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
26.3 Waiver. VEST's failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision in the future.
26.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without VEST's prior written consent. VEST may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or other business transaction.
26.5 Survival. Provisions that by their nature should survive termination or expiration of these Terms will survive, including provisions relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any outstanding obligations.
26.6 Headings. Section headings are provided for convenience only and do not affect the interpretation of these Terms.
